Terms & Conditions

These terms govern your use of this website and, together with any signed agreement or statement of work, the software design and development services provided by Mahati Step Private Limited.

1. Acceptance

By accessing this website you agree to these terms. If you engage us to provide services, these terms apply together with the specific proposal, quotation, statement of work or master services agreement signed by both parties (the "Engagement Documents"). If there is a conflict, the signed Engagement Documents prevail for that engagement.

2. Definitions

  • "We", "us", "our" — Mahati Step Private Limited.
  • "You", "Client" — the person or organisation using this website or engaging our services.
  • "Services" — design, development, integration, deployment, maintenance and related work we agree to perform.
  • "Deliverables" — the software, code, designs, documentation and other materials we create for you under an engagement.
  • "Pre-existing IP" — tools, libraries, frameworks, components and know-how owned or licensed by us before or independently of an engagement.

3. Use of this website

We grant you a limited, non-exclusive, revocable licence to view this website for lawful, personal or business informational purposes. You agree not to:

  • copy, republish or resell content except as permitted by law;
  • attempt to gain unauthorised access, probe or disrupt the site or its infrastructure;
  • use automated means to scrape the site beyond reasonable, respectful crawling;
  • misrepresent your affiliation with us or use our name, logo or brand without written permission.

All content on this website — text, graphics, logos, mockups and layout — is owned by us or our licensors and is protected by intellectual property laws.

4. Services & proposals

Proposals and estimates are valid for 30 days unless stated otherwise and do not create a binding engagement until confirmed in writing by both parties. The scope, deliverables, assumptions, fees and schedule for each engagement are set out in the Engagement Documents. Anything not expressly included is out of scope.

5. Client responsibilities

  • provide accurate requirements, content, brand assets and access (accounts, environments, APIs) needed to perform the Services;
  • nominate an authorised point of contact who can give timely feedback, approvals and decisions;
  • ensure you have the rights to all materials and third-party services you ask us to use;
  • review deliverables promptly; items not rejected in writing with specific reasons within the review period stated in the Engagement Documents are deemed accepted;
  • maintain your own backups of data and materials you provide.

Delays caused by late feedback, missing access or incomplete information may affect the schedule and fees.

6. Fees & payment

  • Fees are as stated in the Engagement Documents, exclusive of applicable taxes (including GST), which you will pay in addition.
  • Unless agreed otherwise, we invoice a deposit before work begins and the balance in milestones or monthly.
  • Invoices are payable within 15 days of the invoice date.
  • Overdue amounts may accrue interest at 1.5% per month (or the maximum permitted by law) and we may suspend Services and withhold deliverables until payment is received.
  • Third-party costs (hosting, domains, licences, paid APIs, app-store fees) are your responsibility and may be billed at cost or paid by you directly.
  • Fees paid are non-refundable except as expressly stated.

7. Changes & change requests

Either party may request a change to scope. We will assess the impact on fees and schedule and provide a written change note. Work on the change begins once you approve it in writing.

8. Timelines

Schedules and delivery dates are good-faith estimates based on the agreed scope and your timely cooperation. They are not guarantees, and we are not liable for delays outside our reasonable control.

9. Intellectual property

  • Deliverables. On our receipt of full payment for the relevant engagement, we assign to you the intellectual property rights in the custom Deliverables created specifically for you, except for Pre-existing IP and third-party components.
  • Pre-existing IP. We retain all rights in our Pre-existing IP. We grant you a perpetual, non-exclusive, worldwide licence to use our Pre-existing IP to the extent it is embedded in the Deliverables and needed to use them.
  • Third-party and open-source components. Deliverables may include third-party or open-source software licensed under their own terms, which you agree to comply with.
  • Before full payment any code or materials we provide are licensed to you only for review and testing.
  • Portfolio. Unless you ask us in writing not to, we may describe the engagement and display non-confidential screenshots and outcomes as part of our portfolio and marketing.

10. Confidentiality

Each party will keep the other's confidential information secret, use it only for the engagement, and protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.

11. Warranties & disclaimers

We will perform the Services with reasonable skill and care and in a professional manner. For a period of 30 days after acceptance of a Deliverable, we will correct, at no charge, reproducible defects where the Deliverable materially fails to meet the agreed specification. This warranty does not cover issues caused by changes made by you or a third party, misuse, unsupported environments, third-party services, or content and data you supplied.

Except as expressly stated, the Services and Deliverables are provided without other warranties of any kind. This website and its content are provided "as is" and "as available" without warranty of accuracy, availability or fitness for a particular purpose.

12. Limitation of liability

To the maximum extent permitted by law:

  • neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data, goodwill or business opportunity;
  • our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by you to us for that engagement in the 12 months before the event giving rise to the claim;
  • for use of this website where no fees are paid, our total liability is limited to INR 10,000.

Nothing in these terms limits liability that cannot be limited by law, such as for fraud.

13. Indemnity

You agree to indemnify us against claims, damages and reasonable costs arising from content, data, materials or instructions you provide, your use of the Deliverables in breach of these terms or applicable law, or your infringement of a third party's rights.

14. Term & termination

These website terms apply while you use the site. An engagement continues until the Services are complete or it is terminated under the Engagement Documents. Either party may terminate an engagement for material breach that is not cured within 15 days of written notice, or immediately if the other party becomes insolvent. On termination you will pay for Services performed and costs committed up to the termination date. Sections that by their nature should survive (including IP, confidentiality, liability and payment) survive termination.

15. Third-party services

We may recommend or integrate third-party platforms (hosting, payment gateways, messaging, analytics, app stores). Those services are governed by their own terms and we are not responsible for their availability, changes or acts.

16. Data protection

Our handling of personal information is described in our Privacy Policy. Where we process personal data on your behalf as part of the Services, we do so under a data processing agreement and in accordance with applicable law, including the Digital Personal Data Protection Act, 2023.

17. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural events, outages, acts of government, war, civil unrest, or failures of infrastructure or third-party services.

18. Governing law & jurisdiction

These terms are governed by the laws of India. The courts at [Add city], India have exclusive jurisdiction, subject to any arbitration clause agreed in the Engagement Documents.

19. General

  • The Engagement Documents and these terms are the entire agreement between the parties on their subject matter and supersede prior discussions.
  • You may not assign your rights without our written consent; we may assign to a successor of our business.
  • If any provision is unenforceable, the rest remains in effect.
  • A failure to enforce a right is not a waiver of it.
  • Notices must be in writing and sent to the email addresses in the Engagement Documents or to contact@mahatistep.com.
  • Nothing in these terms creates a partnership, agency or employment relationship.
